{"id":113058,"date":"2024-05-30T10:59:35","date_gmt":"2024-05-30T07:59:35","guid":{"rendered":"https:\/\/cloudfresh.com\/en\/?page_id=113058"},"modified":"2024-07-17T12:06:28","modified_gmt":"2024-07-17T09:06:28","slug":"conditions-generales-de-vente","status":"publish","type":"page","link":"https:\/\/cloudfresh.com\/fr\/cgv\/","title":{"rendered":"Conditions g\u00e9n\u00e9rales de vente"},"content":{"rendered":"<p><\/p>\n<h4>Article 1 \u2014 Pr\u00e9ambule \u2014 d\u00e9finitions<\/h4>\n<p>1.1 Cloudfresh France, soci\u00e9t\u00e9 par actions simplifi\u00e9e au capital de 5 000 Euros, enregistr\u00e9 au RCS d\u2019Aix-en-Provence sous le num\u00e9ro 924 838 030, ayant son si\u00e8ge au 67 Cours Mirabeau 13100 Aix-en-Provence (ci-apr\u00e8s \u00ab Cloudfresh France \u00bb), propose une expertise compl\u00e8te en mati\u00e8re de conseil, installation et int\u00e9gration de solutions informatiques et applications m\u00e9tiers (Google Workspace, Google Cloud Platform, Google Maps, Google Chrome, Gitlab, Zendesk, Asana, Okta, ci-apr\u00e8s \u00ab Solutions \u00bb) propos\u00e9es par des \u00e9diteurs de solutions informatiques et distribu\u00e9es par Cloudfresh France, ainsi que dans la r\u00e9alisation des prestations de support qui y sont associ\u00e9es.<\/p>\n<p><strong>1.2 D\u00e9finitions<\/strong><\/p>\n<ul>\n<li>Abonnement : Contrat par lequel le Client s&#8217;engage \u00e0 utiliser une ou plusieurs solutions informatiques propos\u00e9es par des \u00e9diteurs partenaires de Cloudfresh France et distribu\u00e9es par cette derni\u00e8re, moyennant le paiement d&#8217;une redevance p\u00e9riodique.<\/li>\n<li>Client : Personne morale ayant souscrit un Abonnement aupr\u00e8s de Cloudfresh France et b\u00e9n\u00e9ficiant, \u00e0 ce titre, du Support associ\u00e9.<\/li>\n<li>Support : Ensemble des prestations d&#8217;assistance technique fournies par Cloudfresh France au Client par courrier \u00e9lectronique, visant \u00e0 assurer la continuit\u00e9 de fonctionnement des solutions informatiques souscrites.<\/li>\n<li>Prestations : Ensemble des services fournis par Cloudfresh France au Client dans le cadre du Contrat, incluant notamment l&#8217;Abonnement, le Support et toute autre prestation compl\u00e9mentaire qui pourrait \u00eatre convenue entre les parties.<\/li>\n<\/ul>\n<p>&nbsp;<\/p>\n<h4>Article 2 \u2014 Application des conditions g\u00e9n\u00e9rales de vente<\/h4>\n<p>Les pr\u00e9sentes conditions g\u00e9n\u00e9rales de vente (CGV) s&#8217;appliquent de plein droit \u00e0 toutes les prestations fournies par Cloudfresh France au Client, sauf convention \u00e9crite contraire express\u00e9ment convenue entre les parties.<\/p>\n<p>Le fait pour le Client de passer commande aupr\u00e8s de Cloudfresh France implique son adh\u00e9sion pleine et enti\u00e8re aux pr\u00e9sentes CGV, sans aucune r\u00e9serve ni restriction.<\/p>\n<p>En cas de modification des pr\u00e9sentes CGV, la relation entre le Client et Cloudfresh France sera r\u00e9gie par la version des CGV en vigueur au jour de la commande.<\/p>\n<p>&nbsp;<\/p>\n<h4>Article 3 \u2014 Formation des contrats<\/h4>\n<p><strong>3.1 Modalit\u00e9s de commande<\/strong><\/p>\n<p>Toute commande du Client doit \u00eatre pass\u00e9e par \u00e9crit, soit par courrier \u00e9lectronique \u00e0 l&#8217;adresse indiqu\u00e9e sur le site internet de Cloudfresh France, soit par courrier postal \u00e0 l&#8217;adresse du si\u00e8ge social de la soci\u00e9t\u00e9. Les pr\u00e9sentes conditions g\u00e9n\u00e9rales de vente sont accessibles par lien hypertexte <a href=\"https:\/\/cloudfresh.com\/fr\/cgv\/\" rel=\"\">https:\/\/cloudfresh.com\/fr\/cgv\/<\/a>.<\/p>\n<p><strong>3.2 Formation du contrat<\/strong><\/p>\n<ul>\n<li>En cas de devis : Le devis \u00e9tabli par Cloudfresh France constitue une offre de contracter. Le contrat est r\u00e9put\u00e9 form\u00e9 d\u00e8s lors que le Client a accept\u00e9 sans r\u00e9serve les termes du devis, par tout moyen \u00e9crit manifestant sa volont\u00e9 de mani\u00e8re non \u00e9quivoque.<\/li>\n<li>En l&#8217;absence de devis : La commande du Client constitue une offre de contracter. Le contrat est r\u00e9put\u00e9 form\u00e9 lorsque Cloudfresh France a confirm\u00e9 la commande par \u00e9crit, par tout moyen permettant d&#8217;en accuser r\u00e9ception.<\/li>\n<\/ul>\n<p><strong>3.3 Annulation de commande<\/strong><\/p>\n<p>Une fois le contrat form\u00e9, conform\u00e9ment aux dispositions de l&#8217;article 3.2 ci-dessus, aucune annulation de commande, partielle ou totale, ne sera accept\u00e9e par Cloudfresh France. Le prix de la commande restera d\u00fb en totalit\u00e9 par le Client.<\/p>\n<p>&nbsp;<\/p>\n<h4>Article 4 \u2014 Abonnement aux Solutions<\/h4>\n<p>Cloudfresh France propose une s\u00e9lection de Solutions d\u00e9velopp\u00e9es par des \u00e9diteurs partenaires. Le Client choisit librement les Solutions qui r\u00e9pondent \u00e0 ses besoins.<\/p>\n<p>Chaque Solution est r\u00e9gie par un contrat distinct entre le Client et l&#8217;\u00e9diteur concern\u00e9, incluant les conditions g\u00e9n\u00e9rales sp\u00e9cifiques \u00e0 cette Solution. Le Client accepte ces conditions lors de la souscription.<\/p>\n<p>Cloudfresh France joue un r\u00f4le d&#8217;interm\u00e9diaire commercial entre le Client et les \u00e9diteurs et n\u2019est pas partie prenante aux contrats relatifs aux Solutions et ne peut donc \u00eatre tenue responsable de leur fourniture ou de leur contenu.<\/p>\n<p>&nbsp;<\/p>\n<h4>Article 5 \u2014 Dur\u00e9e \u2014 R\u00e9siliation<\/h4>\n<p><strong>5.1 Dur\u00e9e<\/strong><\/p>\n<p>Le Contrat est conclu pour une dur\u00e9e initiale correspondant \u00e0 la dur\u00e9e du devis, avec un minimum de 12 mois, ou \u00e0 d\u00e9faut, \u00e0 la dur\u00e9e accept\u00e9e par Cloudfresh France en l&#8217;absence de devis.<\/p>\n<p>Le Contrat est reconduit tacitement pour une p\u00e9riode identique \u00e0 la p\u00e9riode initiale, sauf d\u00e9nonciation notifi\u00e9e par lettre recommand\u00e9e avec accus\u00e9 de r\u00e9ception par l&#8217;une ou l&#8217;autre des parties, au plus tard soixante jours avant chaque date anniversaire. En cas de reconduction, les prix ne sauraient exc\u00e9der ceux indiqu\u00e9s sur <a href=\"https:\/\/cloudfresh.com\/fr\/\">https:\/\/cloudfresh.com\/fr\/<\/a>.<\/p>\n<p>En cas de r\u00e9siliation anticip\u00e9e par le Client sans motif valable avant l&#8217;expiration de cette p\u00e9riode initiale, le Client devra s&#8217;acquitter du montant restant d\u00fb jusqu&#8217;\u00e0 la fin de la dur\u00e9e initiale du contrat, et ce, sans pr\u00e9judice d&#8217;\u00e9ventuels dommages et int\u00e9r\u00eats suppl\u00e9mentaires.<\/p>\n<p><strong>5.2 R\u00e9siliation<\/strong><\/p>\n<p>En cas de manquement grave ou persistant de l&#8217;une des parties \u00e0 ses obligations contractuelles, l&#8217;autre partie pourra r\u00e9silier le Contrat si ce manquement n&#8217;est pas r\u00e9par\u00e9 dans un d\u00e9lai de 30 jours \u00e0 compter de la r\u00e9ception d&#8217;une notification \u00e9crite l&#8217;informant de ce manquement et l&#8217;invitant \u00e0 y rem\u00e9dier.<\/p>\n<p>&nbsp;<\/p>\n<h4>Article 6 \u2014 Prestations<\/h4>\n<p><strong>6.1 Support<\/strong><\/p>\n<p>Cloudfresh France r\u00e9alise, pour le compte du Client, le Support tel que d\u00e9fini dans le Contrat. Ces services correspondent \u00e0 un support de niveau 1, ce qui signifie que Cloudfresh France :<\/p>\n<p>Cloudfresh France r\u00e9ceptionne et enregistre les demandes d&#8217;assistance du Client concernant les Solutions souscrites, puis les analyse pour en d\u00e9terminer la nature et la complexit\u00e9. Les probl\u00e8mes simples et courants, tels que les difficult\u00e9s d&#8217;acc\u00e8s aux Solutions, les questions sur les fonctionnalit\u00e9s de base et les probl\u00e8mes de configuration mineurs sont r\u00e9solus par Cloudfresh France. Les probl\u00e8mes plus complexes sont transmis au support de niveau 2 de l&#8217;\u00e9diteur de la Solution concern\u00e9e, avec toutes les informations n\u00e9cessaires pour une r\u00e9solution rapide et efficace. Cloudfresh France assure un suivi des demandes jusqu&#8217;\u00e0 leur r\u00e9solution compl\u00e8te, en tenant le Client inform\u00e9 de l&#8217;avancement. Il est important de noter que ce support de niveau 1 est un premier point de contact pour le Client et ne se substitue pas au support technique fourni par les \u00e9diteurs des Solutions. Le Client conserve un acc\u00e8s direct \u00e0 ce dernier, selon les conditions d\u00e9finies dans les contrats respectifs.<\/p>\n<p><strong>6.2 Autres Prestations<\/strong><\/p>\n<p>Les Prestations couvertes par le Support sont limitativement \u00e9num\u00e9r\u00e9es \u00e0 l\u2019alin\u00e9a pr\u00e9c\u00e9dent. Toute Prestation sollicit\u00e9e par le Client et ne figurant pas dans cette liste sera consid\u00e9r\u00e9e comme une prestation suppl\u00e9mentaire.<\/p>\n<p>Les prestations suppl\u00e9mentaires feront l&#8217;objet d&#8217;une facturation distincte, \u00e9tablie par Cloudfresh France sur la base du tarif en vigueur au jour de la commande de la prestation. Un devis d\u00e9taill\u00e9 pourra \u00eatre transmis au Client pr\u00e9alablement \u00e0 la r\u00e9alisation de la prestation, \u00e0 sa demande.<\/p>\n<p>&nbsp;<\/p>\n<h4>Article 7 \u2014 Obligations<\/h4>\n<p><strong>7.1 Obligations de Cloudfresh France<\/strong><\/p>\n<p>Cloudfresh France s&#8217;engage \u00e0 mettre en \u0153uvre les ressources humaines et techniques n\u00e9cessaires pour r\u00e9aliser les Prestations d\u00e9finies dans la proposition commerciale. Ses obligations sont de moyens et non de r\u00e9sultats. Cloudfresh France s\u2019engage \u00e0 respecter les normes de s\u00e9curit\u00e9 en vigueur dans l&#8217;industrie, les r\u00e9glementations applicables et les proc\u00e9dures l\u00e9gales, qu&#8217;elles soient impos\u00e9es par les constructeurs ou le Client. Le<\/p>\n<p>Client s&#8217;engage \u00e0 informer Cloudfresh France, avant le d\u00e9but des prestations, de toute r\u00e8gle, prescription ou contrainte sp\u00e9cifique applicable au site d&#8217;intervention.<\/p>\n<p><strong>7.2 Obligations du Client<\/strong><\/p>\n<p>Le Client s&#8217;engage \u00e0 :<\/p>\n<ul>\n<li>Fournir un environnement informatique compatible : Le Client doit s&#8217;assurer que son environnement informatique (navigateurs, syst\u00e8mes d&#8217;exploitation, r\u00e9seau, t\u00e9l\u00e9phones mobiles) est conforme aux exigences techniques des Solutions propos\u00e9es par Cloudfresh France.<\/li>\n<li>Faciliter l&#8217;acc\u00e8s et la r\u00e9alisation des Prestations : Le Client doit mettre tout en \u0153uvre pour permettre aux collaborateurs de Cloudfresh France d&#8217;acc\u00e9der aux ressources n\u00e9cessaires et de r\u00e9aliser les Prestations dans les meilleures conditions.<\/li>\n<li>Lever les obstacles \u00e0 l&#8217;ex\u00e9cution des Prestations : Le Client doit prendre toutes les mesures n\u00e9cessaires pour r\u00e9soudre rapidement tout probl\u00e8me ou difficult\u00e9 pouvant entraver la bonne ex\u00e9cution des Prestations.<\/li>\n<li>Assumer ses droits et obligations contractuelles : Le Client doit faire valoir ses droits et s&#8217;acquitter de ses obligations li\u00e9es au contrat pour lequel il sollicite l&#8217;intervention de Cloudfresh France. \u00c0 d\u00e9faut, Cloudfresh France sera d\u00e9gag\u00e9e de toute responsabilit\u00e9 \u00e0 son \u00e9gard.<\/li>\n<\/ul>\n<p>Si, pour des raisons ind\u00e9pendantes de la volont\u00e9 de Cloudfresh France, la Prestation ne peut \u00eatre r\u00e9alis\u00e9e, celle-ci sera factur\u00e9e int\u00e9gralement au Client.<\/p>\n<p>&nbsp;<\/p>\n<h4>Article 8 \u2014 Tarifs et conditions de r\u00e8glement<\/h4>\n<p>8.1 La facturation des Abonnements des autres Prestations se base sur les tarifs contractuels. Toute ann\u00e9e entam\u00e9e est due en totalit\u00e9.<\/p>\n<p>8.2 Les solutions sont payables annuellement d&#8217;avance, en d\u00e9but d&#8217;ann\u00e9e contractuelle. Les autres prestations sont payables sous 30 jours apr\u00e8s facturation.<\/p>\n<p>8.3 Sauf disposition contraire, le prix des Solutions est r\u00e9ajust\u00e9 proportionnellement en cas d&#8217;augmentation du nombre d&#8217;utilisateurs ou du tarif de l&#8217;\u00e9diteur pendant le Contrat, jusqu&#8217;\u00e0 son terme.<\/p>\n<p>8.4 A d\u00e9faut de paiement \u00e0 bonne date de l&#8217;une des \u00e9ch\u00e9ances, le montant d\u00fb sera major\u00e9, de plein droit et sans mise en demeure pr\u00e9alable, du double du taux de l&#8217;int\u00e9r\u00eat l\u00e9gal, et une indemnit\u00e9 forfaitaire de 40\u20ac pour frais de recouvrement.<\/p>\n<p>Toute contestation de facture doit \u00eatre envoy\u00e9e par lettre recommand\u00e9e dans les 8 jours suivant son \u00e9mission.<\/p>\n<p>&nbsp;<\/p>\n<h4>Article 9 \u2014 Responsabilit\u00e9<\/h4>\n<p>Le client est seul responsable de la d\u00e9finition de ses besoins et de la conformit\u00e9 des prestations de Cloudfresh France \u00e0 ces derniers.<\/p>\n<p>La responsabilit\u00e9 de Cloudfresh France est exclue pour tout dommage indirect. En cas de faute lourde, la responsabilit\u00e9 de Cloudfresh France est limit\u00e9e au montant pay\u00e9 par le client pour les prestations concern\u00e9es.<\/p>\n<p>Cloudfresh France n&#8217;est en aucun cas responsable des dommages ou pertes de donn\u00e9es du client, quelle qu&#8217;en soit la cause. Le client, en tant que responsable de traitement au sens de la loi Informatique et Libert\u00e9s, demeure seul garant de la protection de ses donn\u00e9es personnelles. Il lui incombe de prendre toutes mesures n\u00e9cessaires \u00e0 leur sauvegarde pr\u00e9alablement \u00e0 toute intervention de Cloudfresh France.<\/p>\n<p>&nbsp;<\/p>\n<h4>Article 10 \u2014 D\u00e9lais d\u2019intervention<\/h4>\n<p>Les d\u00e9lais indiqu\u00e9s sont des estimations et peuvent \u00eatre sujets \u00e0 modification. Cloudfresh France s&#8217;efforce de respecter ces d\u00e9lais, mais ne peut \u00eatre tenu responsable des retards caus\u00e9s par des circonstances impr\u00e9vues ou des \u00e9v\u00e9nements ind\u00e9pendants de sa volont\u00e9. Dans de tels cas, aucune demande d&#8217;annulation, de p\u00e9nalit\u00e9 ou de dommages-int\u00e9r\u00eats ne sera accept\u00e9e. Si la prestation devient impossible \u00e0 r\u00e9aliser, Cloudfresh France en informera rapidement le client afin de discuter des options possibles, telles que l&#8217;annulation ou la reprogrammation.<\/p>\n<p>&nbsp;<\/p>\n<h4>Article 11 \u2014 Confidentialit\u00e9<\/h4>\n<p>Les informations confidentielles \u00e9chang\u00e9es entre les parties resteront strictement confidentielles. Cloudfresh France s&#8217;engage \u00e0 ne divulguer aucune information permettant \u00e0 des tiers d&#8217;acc\u00e9der, directement ou indirectement, aux requ\u00eates du client ni \u00e0 aucune donn\u00e9e confidentielle au sens de la loi Informatique et Libert\u00e9s.<\/p>\n<p>&nbsp;<\/p>\n<h4>Article 12 \u2014 Force majeure<\/h4>\n<p>Cloudfresh France ne saurait \u00eatre tenu responsable de tout manquement ou retard dans l&#8217;ex\u00e9cution de ses obligations contractuelles si ces derniers sont caus\u00e9s par un \u00e9v\u00e9nement impr\u00e9visible, irr\u00e9sistible et ext\u00e9rieur, tel que d\u00e9fini par l&#8217;article 1148 du Code civil.<\/p>\n<p>Si un cas de force majeure perdure au-del\u00e0 de 90 jours, le pr\u00e9sent contrat pourra \u00eatre r\u00e9sili\u00e9 par l&#8217;une ou l&#8217;autre des parties, sans indemnit\u00e9.<\/p>\n<p>&nbsp;<\/p>\n<h4>Article 13 \u2014 Loi applicable<\/h4>\n<p>L\u2019interpr\u00e9tation et l\u2019ex\u00e9cution des pr\u00e9sentes conditions g\u00e9n\u00e9rales de vente sont soumises au droit fran\u00e7ais. Tout litige n\u00e9 de l&#8217;interpr\u00e9tation, de l&#8217;ex\u00e9cution ou de la r\u00e9siliation du pr\u00e9sent contrat, ainsi que de ses suites, sera soumis \u00e0 la comp\u00e9tence exclusive du Tribunal de commerce d\u2019Aix-en-Provence.<\/p>\n<p>&nbsp;<\/p>\n<p><strong>Date d\u2019entr\u00e9e en vigueur : 26 mars 2024<\/strong><\/p>\n<hr \/>\n<p>&nbsp;<\/p>\n<h2 style=\"text-align: center;\">General Terms and Conditions of Sale<\/h2>\n<p>&nbsp;<\/p>\n<h4>Article 1 \u2014 Preamble \u2014 Definitions<\/h4>\n<p>1.1 Cloudfresh France, a simplified joint-stock company with a capital of 5,000 Euros, registered with the RCS of Aix-en-Provence under number 924 838 030, with its registered office at 67 Cours Mirabeau 13100 Aix-en-Provence (hereinafter &#8220;Cloudfresh France&#8221;), offers comprehensive expertise in consulting, installation, and integration of IT solutions and business applications (Google Workspace, Google Cloud Platform, Google Maps, Google Chrome, Gitlab, Zendesk, Asana, Okta, hereinafter &#8220;Solutions&#8221;) offered by software vendors and distributed by Cloudfresh France, as well as in the provision of associated support services.<\/p>\n<p>1.2 Definitions<\/p>\n<ul>\n<li><strong>Subscription:<\/strong> Contract by which the Client agrees to use one or more IT solutions offered by Cloudfresh France&#8217;s partner vendors and distributed by the latter, in return for payment of a periodic fee.<\/li>\n<li><strong>Client:<\/strong> Legal entity that has subscribed to a Subscription with Cloudfresh France and, as such, benefits from the associated Support.<\/li>\n<li><strong>Support:<\/strong> Set of technical assistance services provided by Cloudfresh France to the Client by email, aimed at ensuring the continuity of operation of the subscribed IT solutions.<\/li>\n<li><strong>Services:<\/strong> All services provided by Cloudfresh France to the Client under the Contract, including in particular the Subscription, Support, and any other additional service that may be agreed upon between the parties.<\/li>\n<\/ul>\n<p>&nbsp;<\/p>\n<h4>Article 2 \u2014 Application of the General Terms and Conditions of Sale<\/h4>\n<p>These general terms and conditions of sale (GTCS) apply automatically to all services provided by Cloudfresh France to the Client, unless otherwise expressly agreed in writing between the parties.<\/p>\n<p>The Client&#8217;s placement of an order with Cloudfresh France implies full and complete acceptance of these GTCS, without reservation or restriction.<\/p>\n<p>In the event of any modification to these GTCS, the relationship between the Client and Cloudfresh France shall be governed by the version of the GTCS in effect on the date of the order.<\/p>\n<p>&nbsp;<\/p>\n<h4>Article 3 \u2014 Formation of Contracts<\/h4>\n<p><strong>3.1 Order Methods<\/strong><\/p>\n<p>All Client orders must be placed in writing, either by email to the address indicated on the Cloudfresh France website or by mail to the company&#8217;s registered office address. These general terms and conditions of sale are accessible via hyperlink at <a href=\"https:\/\/cloudfresh.com\/fr\/cgv\/\">https:\/\/cloudfresh.com\/fr\/cgv\/<\/a>.<\/p>\n<p><strong>3.2 Formation of the Contract<\/strong><\/p>\n<ul>\n<li><strong>In the case of a quote<\/strong>: The quote prepared by Cloudfresh France constitutes an offer to contract. The contract is deemed formed once the Client has accepted the terms of the quote without reservation, by any written means clearly expressing their intention.<\/li>\n<li><strong>In the absence of a quote<\/strong>: The Client&#8217;s order constitutes an offer to contract. The contract is deemed formed when Cloudfresh France has confirmed the order in writing, by any means allowing acknowledgement of receipt.<\/li>\n<\/ul>\n<p><strong>3.3 Order Cancellation<\/strong><\/p>\n<p>Once the contract is formed, in accordance with the provisions of Article 3.2 above, no cancellation of the order, partial or total, will be accepted by Cloudfresh France. The full price of the order will remain due by the Client.<\/p>\n<p>&nbsp;<\/p>\n<h4>Article 4 \u2014 Subscription to Solutions<\/h4>\n<p>Cloudfresh France offers a selection of Solutions developed by partner vendors. The Client freely chooses the Solutions that meet their needs.<br \/>\nEach Solution is governed by a separate contract between the Client and the relevant vendor, including the specific terms and conditions for that Solution. The Client accepts these terms and conditions upon subscription.<\/p>\n<p>Cloudfresh France acts as a sales intermediary between the Client and the vendors and is not a party to the contracts relating to the Solutions and therefore cannot be held responsible for their provision or content.<\/p>\n<p>&nbsp;<\/p>\n<h4>Article 5 \u2014 Duration \u2014 Termination<\/h4>\n<p><strong>5.1 Duration<\/strong><\/p>\n<p>The Contract is concluded for an initial term corresponding to the duration of the quote, with a minimum of 12 months, or failing that, to the duration accepted by Cloudfresh France in the absence of a quote.<\/p>\n<p>The Contract shall be automatically renewed for a period identical to the initial period, unless terminated by registered letter with acknowledgment of receipt by either party, no later than sixty days prior to each anniversary date. In the event of automatic renewal, prices may not exceed those shown on <a href=\"https:\/\/cloudfresh.com\/fr\/\">https:\/\/cloudfresh.com\/fr\/<\/a>.<\/p>\n<p>In the event of early termination by the Client without valid reason before the expiry of this initial period, the Client shall pay the remaining amount due until the end of the initial term of the contract, without prejudice to any additional damages.<\/p>\n<p><strong>5.2 Termination<\/strong><\/p>\n<p>In the event of a serious or persistent breach by either party of its contractual obligations, the other party may terminate the Contract if such breach is not remedied within 30 days of receipt of written notification informing the breaching party of the breach and inviting them to remedy it.<\/p>\n<p>&nbsp;<\/p>\n<h4>Article 6 \u2014 Services<\/h4>\n<p><strong>6.1 Support<\/strong><\/p>\n<p>Cloudfresh France provides, on behalf of the Client, the Support as defined in the Contract. These services correspond to Level 1 support, meaning that Cloudfresh France:<\/p>\n<ul>\n<li>Receives and records the Client&#8217;s requests for assistance concerning the subscribed Solutions, then analyzes them to determine their nature and complexity.<\/li>\n<li>Resolves simple and common issues, such as difficulties accessing Solutions, questions about basic functionalities, and minor configuration problems.<\/li>\n<li>Forwards more complex issues to the Level 2 support of the relevant Solution vendor, with all the information necessary for quick and efficient resolution.<\/li>\n<li>Tracks requests until they are fully resolved, keeping the Client informed of progress.<\/li>\n<\/ul>\n<p>It is important to note that this Level 1 support is a first point of contact for the Client and does not replace the technical support provided by the Solution vendors. The Client retains direct access to the latter, according to the conditions defined in the respective contracts.<\/p>\n<p><strong>6.2 Other Services<\/strong><\/p>\n<p>The Services covered by Support are exhaustively listed in the preceding paragraph. Any Service requested by the Client and not included in this list will be considered an additional service.<\/p>\n<p>Additional services will be invoiced separately by Cloudfresh France based on the applicable rate on the date of the service order. A detailed quote may be sent to the Client prior to the service being carried out, upon request.<\/p>\n<p>&nbsp;<\/p>\n<h4>Article 7 \u2014 Obligations<\/h4>\n<p><strong>7.1 Obligations of Cloudfresh France<\/strong><\/p>\n<p>Cloudfresh France undertakes to implement the human and technical resources necessary to carry out the Services defined in the commercial proposal. Its obligations are of means, not of result. Cloudfresh France undertakes to comply with industry security standards, applicable regulations, and legal procedures, whether imposed by manufacturers or the Client. The Client undertakes to inform Cloudfresh France, before the start of the services, of any specific rules, requirements, or constraints applicable to the intervention site.<\/p>\n<p><strong>7.2 Obligations of the Client<\/strong><\/p>\n<p>The Client undertakes to:<\/p>\n<ul>\n<li>Provide a compatible IT environment: The Client must ensure that their IT environment (browsers, operating systems, network, mobile phones) complies with the technical requirements of the Solutions offered by Cloudfresh France.<\/li>\n<li>Facilitate access and performance of the Services: The Client must make every effort to allow Cloudfresh France employees to access the necessary resources and perform the Services under the best possible conditions.<\/li>\n<li>Remove obstacles to the performance of the Services: The Client must take all necessary measures to quickly resolve any problem or difficulty that may hinder the proper performance of the Services.<\/li>\n<li>Assume their contractual rights and obligations: The Client must assert their rights and fulfill their obligations related to the contract for which they are requesting the intervention of Cloudfresh France. Failing this, Cloudfresh France will be released from any liability towards them.<\/li>\n<\/ul>\n<p>If, for reasons beyond the control of Cloudfresh France, the Service cannot be performed, it will be billed in full to the Client.<\/p>\n<p>&nbsp;<\/p>\n<h4>Article 8 \u2014 Prices and Terms of Payment<\/h4>\n<p>8.1 Invoicing for Subscriptions and other Services is based on contractual rates. Any year started is due in full.<\/p>\n<p>8.2 Solutions are payable annually in advance, at the beginning of the contract year. Other services are payable within 30 days after invoicing.<\/p>\n<p>8.3 Unless otherwise provided, the price of the Solutions is adjusted proportionally in the event of an increase in the number of users or the vendor&#8217;s rate during the Contract, until its term.<\/p>\n<p>8.4 In the event of late payment of any installment, the amount due will be increased, automatically and without prior formal notice, by double the legal interest rate, and a fixed compensation of \u20ac40 for recovery costs.<\/p>\n<p>Any dispute regarding an invoice must be sent by registered mail within 8 days of its issuance.<\/p>\n<p>&nbsp;<\/p>\n<h4>Article 9 \u2014 Liability<\/h4>\n<p>The client is solely responsible for defining their needs and for the conformity of Cloudfresh France&#8217;s services to these needs.<br \/>\nCloudfresh France&#8217;s liability is excluded for any indirect damage. In the event of gross negligence, Cloudfresh France&#8217;s liability is limited to the amount paid by the client for the services concerned.<\/p>\n<p>Cloudfresh France is in no way liable for any damage or loss of client data, whatever the cause. The client, as data controller within the meaning of the Data Protection Act, remains solely responsible for the protection of their personal data. It is their responsibility to take all necessary measures to safeguard them prior to any intervention by Cloudfresh France.<\/p>\n<p>&nbsp;<\/p>\n<h4>Article 10 \u2014 Intervention Times<\/h4>\n<p>The times indicated are estimates and may be subject to change. Cloudfresh France endeavors to meet these deadlines but cannot be held responsible for delays caused by unforeseen circumstances or events beyond its control. In such cases, no request for cancellation, penalty, or damages will be accepted. If the service becomes impossible to perform, Cloudfresh France will promptly inform the client to discuss possible options, such as cancellation or rescheduling.<\/p>\n<p>&nbsp;<\/p>\n<h4>Article 11 &#8211; Confidentiality<\/h4>\n<p>Confidential information exchanged between the parties shall remain strictly confidential. Cloudfresh France undertakes not to disclose any information allowing third parties to access, directly or indirectly, the client&#8217;s requests or any confidential data within the meaning of the Data Protection Act.<\/p>\n<p>&nbsp;<\/p>\n<h4>Article 12 \u2014 Force Majeure<\/h4>\n<p>Cloudfresh France shall not be held liable for any failure or delay in the performance of its contractual obligations if these are caused by an unforeseeable, irresistible, and external event, as defined by Article 1148 of the Civil Code.<br \/>\nIf a force majeure event persists beyond 90 days, this contract may be terminated by either party without compensation.<\/p>\n<p>&nbsp;<\/p>\n<h4>Article 13 \u2014 Applicable Law<\/h4>\n<p>The interpretation and execution of these general terms and conditions of sale are subject to French law.
